1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the website littlecesars.ca (the "Site") and the catering coordination services ("Services") provided by NorthPeak Event Logistics Inc. ("Company", "we", "us"). By accessing or using our Site or Services, you agree to be bound by these Terms.

2. Description of Services

NorthPeak Event Logistics Inc. provides third-party catering coordination and event planning services. Specifically, we:

• Act as an intermediary between clients and local pizza franchise locations
• Coordinate bulk food orders for corporate events, school functions, and private parties
• Provide event logistics planning, delivery coordination, and order management
• Offer fundraising kit consulting and guidance

We are not a restaurant, food delivery service, or franchise of any pizza brand. We are an independent event coordination company.

3. Service Fees

Our revenue is generated through coordination fees, structured as follows:

• Flat Coordination Fee: A fixed fee based on the size and complexity of your event, disclosed in your quote before you commit.
• Food Costs: The cost of food is passed through at the franchise's standard retail pricing. We do not markup food costs.
• Rush Orders: Orders placed with less than 3 business days notice may incur an additional rush coordination fee.
• Cancellation: Orders cancelled more than 48 hours before the event receive a full refund of the coordination fee. Cancellations within 48 hours may be subject to a 50% fee.

All fees are quoted in Canadian Dollars (CAD) and are subject to applicable taxes (GST/HST).

4. Third-Party Disclaimer

NorthPeak Event Logistics Inc. is not affiliated with, endorsed by, or sponsored by Little Caesar Enterprises, Inc. Little Caesars® is a registered trademark of Little Caesar Enterprises, Inc. Any reference to Little Caesars or related brands on this Site is for informational purposes only, to indicate the franchise locations we may coordinate orders with on your behalf.

We do not represent any franchise, and franchise participation in fulfilling orders is at their sole discretion.

5. User Obligations

When using our Services, you agree to:

• Provide accurate and complete information in all communications and forms
• Respond promptly to our coordination team's requests for clarification
• Ensure someone is available at the delivery location to receive the order
• Notify us of any dietary restrictions or allergies at the time of ordering
• Not use the Site for any unlawful purpose

6. Order Process

1. Quote Request: You submit event details through our form or by contacting us directly.
2. Quote Delivery: We provide a detailed quote within 1 business day, including our coordination fee and estimated food costs.
3. Confirmation: You confirm the order by accepting the quote and providing payment details.
4. Coordination: We place and manage the order with the local franchise.
5. Delivery: Food is delivered to your specified location at the agreed time.

7. Payment Terms

• Payment is due upon order confirmation
• We accept major credit cards, e-transfer, and corporate invoicing for qualifying businesses
• Corporate clients may request NET-15 or NET-30 terms upon credit approval
• All invoices include GST/HST registration number

8. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for delays, errors, or quality issues caused by the franchise location fulfilling the order.
• Our total liability for any claim arising from our Services shall not exceed the coordination fee paid for the specific order in question.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages.

We will make reasonable efforts to resolve any issues with your order, including liaising with the franchise on your behalf.

9. Intellectual Property

All content on this Site — including text, graphics, logos (excluding third-party trademarks), and design — is the property of NorthPeak Event Logistics Inc. and is protected by Canadian copyright law. You may not reproduce, distribute, or create derivative works without our written consent.

10. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario, Canada.

12. Modifications

We reserve the right to modify these Terms at any time. Changes take effect upon posting to the Site. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
